About Us

The website https://www.hypecircle.vip (the "Platform") is operated by E Labs Ventures Ltd, a company registered in England and Wales under company number 17050248, whose registered office is at 128 City Road, London, EC1V 2NX (trading as "hypecircle") ("we", "our", "us").

We provide a technology platform enabling event promoters to list events, sell tickets and operate ambassador marketing programmes.

Acceptance of These Terms

By accessing or using the Platform, you confirm that you accept these Terms of Service ("Terms") and agree to comply with them.

If you do not agree to these Terms, you must not use the Platform.

We may amend these Terms from time to time. Where we make material changes, we will provide reasonable notice (which will normally be at least 14 days). Your continued use of the Platform following such changes constitutes acceptance.

Definitions

In these Terms:

  • "Buyer" means a user who purchases a ticket via the Platform;
  • "Event" means any event listed on the Platform;
  • "Promoter" means the person or entity organising an Event;
  • "Ambassador" means a user participating in an ambassador programme;
  • "Booking Fee" means the fee charged by us in connection with use of the Platform.

Role of the Platform

Hypecircle acts as a technology provider and as a disclosed commercial agent of Promoters for the purpose of facilitating ticket sales.

When you purchase a ticket via the Platform, a legally binding contract is formed directly between you and the relevant Promoter.

We are not:

  • the organiser or host of any Event;
  • the seller or reseller of tickets; or
  • a party to the contract between the Buyer and the Promoter.

The Promoter is solely responsible for:

  • the organisation, delivery and safety of the Event;
  • the accuracy and completeness of Event information; and
  • compliance with all applicable laws and regulations.

Nothing in these Terms shall be construed as creating any partnership, joint venture, employment or agency relationship between hypecircle and any user, other than as expressly stated for the limited purpose of facilitating ticket sales.

Account Registration

You must be at least 18 years old to create an account.

You agree to provide accurate and complete information and to keep it up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity carried out under your account.

Ticket Purchases

Pricing

Ticket prices are set by the Promoter and displayed on the relevant Event page.

Booking Fee

A Booking Fee is charged in addition to the ticket price. This fee is retained by us for providing the Platform and associated services.

Payment

Payments are processed through Stripe. We are not the merchant of record and do not store payment card details. Your payment is processed on behalf of the Promoter.

Ticket Delivery

Tickets are delivered electronically. The Promoter is responsible for admission policies and entry requirements.

Age Restrictions

Where Events are subject to age restrictions, it is your responsibility to ensure compliance. Entry may be refused by the Promoter or venue if requirements are not met.

Refunds and Cancellations

Promoter Responsibility

All refund policies are determined by the Promoter and displayed on the relevant Event page.

Role of Hypecircle

We do not determine refund eligibility and are not responsible for any decision by a Promoter to grant or refuse a refund.

Facilitation

Where a refund is approved by the Promoter, we may facilitate the processing of that refund through our payment provider.

Statutory Rights

Nothing in these Terms limits or excludes your statutory rights under the Consumer Rights Act 2015 or other applicable legislation.

Ambassador Programme

Participation

Users may participate in ambassador programmes where offered by Promoters. Participation is voluntary. Full terms governing ambassador participation are set out in our Ambassador Programme Terms.

Nature of Rewards

Points awarded under any ambassador programme:

  • have no monetary value;
  • cannot be exchanged for cash; and
  • do not constitute earnings, wages or commission.

Status

Ambassadors act as independent participants. Nothing in these Terms creates any employment, worker, agency or partnership relationship between you and hypecircle or any Promoter.

Acceptable Use

You agree not to use the Platform:

  • (a) in breach of any applicable law or regulation;
  • (b) to transmit unlawful, harmful or infringing content; or
  • (c) to interfere with or disrupt the Platform.

We may suspend or terminate access where we reasonably believe a breach has occurred.

Intellectual Property

All intellectual property rights in the Platform (excluding Promoter content) are owned by or licensed to us.

Promoters retain ownership of their content but grant us a non-exclusive, royalty-free licence to use such content for operating and promoting the Platform.

Data Protection

We process personal data in accordance with UK GDPR, the Data Protection Act 2018, and our Privacy Policy.

Liability

Non-Excludable Liability

Nothing in these Terms excludes or limits liability for:

  • (a) death or personal injury caused by negligence;
  • (b) fraud or fraudulent misrepresentation; or
  • (c) any liability which cannot be excluded by law.

Platform Role

To the fullest extent permitted by law, we shall not be liable for:

  • (a) the organisation, delivery, cancellation or quality of any Event;
  • (b) any act or omission of any Promoter; or
  • (c) any loss arising from your attendance at or participation in an Event.

Indirect Loss

We shall not be liable for any indirect or consequential loss, including loss of profit, revenue, business or goodwill.

Liability Cap

Subject to the non-excludable liability clause above, our total aggregate liability arising out of or in connection with these Terms shall not exceed the total Booking Fees paid by you to us in the 12 months preceding the claim.

Indemnity

You agree to indemnify and keep indemnified E Labs Ventures Ltd against any claims, losses, damages, liabilities and expenses (including reasonable legal costs) arising out of or in connection with:

  • your breach of these Terms;
  • your misuse of the Platform; or
  • your breach of applicable law or the rights of any third party.

Termination

You may stop using the Platform at any time.

We may suspend or terminate your account immediately where we reasonably consider that you have breached these Terms or where necessary to protect the Platform or its users.

Governing Law

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have non-exclusive jurisdiction, without prejudice to any mandatory consumer rights.
