1. Acceptance of Terms

By accessing and using hypecircle ("the Platform"), you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use the Platform.

hypecircle is a trading name of Crowdsauce Ltd, a company registered in England and Wales. Our registered address is 128 City Road, London, EC1V 2NX.

2. Platform Description

hypecircle is a ticketing and ambassador platform that connects event promoters with ambassadors who promote events in exchange for points and prizes. The Platform facilitates:

  • Ticket sales for events
  • Ambassador referral programs
  • Point-based reward systems
  • Payment processing via Stripe

3. User Accounts

3.1 Registration

To use certain features, you must create an account by providing your email address, full name, date of birth, and phone number. You must be at least 18 years old to create an account.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account and for all activities under your account. You must notify us immediately of any unauthorized use.

4. Ticket Purchases

4.1 Booking Process

When you purchase tickets, you enter into a contract with the event promoter. hypecircle acts as an intermediary to facilitate the transaction.

4.2 Booking Fee

A 10% booking fee is added to the ticket price. This fee covers platform costs and is non-refundable.

4.3 Ticket Delivery

Tickets are delivered electronically 48 hours before the event start time to prevent ticket touting. You will receive an email with download instructions.

4.4 Age Restrictions

Some events have minimum age requirements. You must meet these requirements to attend. ID may be checked at the venue.

5. Refunds and Cancellations

5.1 Refund Policy

Refund policies are set by individual event promoters. Contact the promoter directly for refund requests. The booking fee is non-refundable in all cases.

5.2 Event Cancellation

If an event is cancelled by the promoter, you will receive a full refund including the booking fee. Refunds are processed within 10 business days.

6. Ambassador Program

6.1 Participation

The Ambassador Program allows users to earn points by selling tickets through unique referral links. Participation is free and voluntary.

6.2 Points System

Points are awarded immediately upon successful ticket purchases made through your referral link. Different ticket types may have different point values as determined by the promoter.

6.3 Point Deductions

If a ticket sold through your referral link is refunded, the corresponding points will be deducted from your balance. Your point balance may go negative.

6.4 Prizes

Prizes are awarded at the discretion of event promoters. Points do not guarantee prize eligibility. Promoters will contact winners directly. hypecircle is not responsible for prize fulfillment.

6.5 Prohibited Behavior

You may not engage in fraudulent activity, including but not limited to: purchasing tickets through your own referral link, creating fake accounts, or manipulating the points system. Violations may result in account termination and forfeiture of points and prizes.

7. Promoter Agreement

7.1 Eligibility

To become a promoter, you must apply and be approved by hypecircle. Promoters must comply with all applicable laws and regulations regarding event promotion and ticket sales.

7.2 Stripe Connect

Promoters must complete Stripe Connect onboarding to receive payouts. You agree to Stripe's Connected Account Agreement.

7.3 Payouts

Promoters receive 100% of ticket revenue (before booking fees). Payouts are processed automatically by Stripe according to your payout schedule.

7.4 Event Content

Promoters are solely responsible for event content, descriptions, images, and all event details. Content must not be illegal, defamatory, or violate any third-party rights.

8. Payment Processing

All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's Terms of Service.

9. Intellectual Property

The hypecircle name, logo, and all related marks are property of Crowdsauce Ltd. You may not use our branding without written permission.

10. Limitation of Liability

Crowdsauce Ltd (trading as hypecircle) is not responsible for:

  • Event quality, safety, or cancellation
  • Prize fulfillment by promoters
  • Actions or omissions of promoters or other users
  • Loss of points, tickets, or account access due to user error

To the maximum extent permitted by law, our total liability shall not exceed the fees you paid in the past 12 months.

11. Dispute Resolution

Any disputes arising from these terms shall be governed by the laws of England and Wales. You agree to attempt to resolve disputes informally by contacting hello@underpass.events before initiating legal action.

12. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email. Continued use of the Platform after changes constitutes acceptance of the new terms.
